Terms of Service

1. Agreement to Terms

By accessing or using syeddevio.com and engaging SYED.DEV for services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.

2. Services

SYED.DEV provides web development, mobile app development, WordPress development, SaaS development, AI integration, and related digital services. All services are provided on a project basis unless otherwise agreed in writing.

Service details, deliverables, timelines, and pricing are agreed upon in a separate Project Agreement or Statement of Work signed by both parties before work commences.

3. Payment Terms

• →All prices are quoted in USD unless otherwise specified
• →Standard payment: 50% upfront, 50% on delivery
• →Large projects (over $5,000): milestone-based payments as agreed
• →Digital products from the shop: payment in full before delivery
• →Invoices are due within 7 days of receipt
• →Late payments accrue interest at 2% per month
• →Work does not commence until the initial payment is received

4. Refund Policy

• →Custom development projects: upfront payments are non-refundable once work has commenced
• →If we fail to deliver agreed deliverables within the agreed timeline (beyond reasonable extensions), you are entitled to a partial refund proportional to undelivered work
• →Digital products (shop items): no refunds after delivery unless the product is materially different from its description
• →Hosting and maintenance subscriptions: prorated refunds for unused periods if cancelled with 30 days notice

5. Intellectual Property

Upon receipt of full payment:

• →You own all custom code written specifically for your project
• →You own all creative assets (designs, graphics) created for your project
• →We retain the right to display the project in our portfolio unless you request otherwise in writing
• →We retain ownership of any reusable code libraries, frameworks, or tools we develop independently
• →Third-party libraries and frameworks used in your project are subject to their respective open-source licenses

6. Client Responsibilities

• →Provide accurate and complete project requirements
• →Respond to requests for feedback or approvals within 5 business days
• →Provide necessary access to systems, accounts, and assets required for the project
• →Ensure you have the rights to any content (text, images, logos) you provide to us
• →Delays caused by client inaction may result in timeline extensions or additional charges

7. Limitation of Liability

SYED.DEV's total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages including lost profits, lost data, or business interruption.

We are not liable for issues caused by third-party services, hosting providers, or factors outside our reasonable control.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or business information disclosed during the course of the project. This obligation survives termination of the agreement.

9. Dispute Resolution

In the event of a dispute:

• →Step 1: Both parties will attempt to resolve the dispute informally within 30 days
• →Step 2: If informal resolution fails, disputes will be submitted to binding arbitration
• →Step 3: Arbitration will be conducted in English via a mutually agreed arbitrator
• →Step 4: The arbitrator's decision is final and binding on both parties

10. Termination

Either party may terminate a project agreement with 14 days written notice. Upon termination, you will be invoiced for all work completed up to the termination date. We will deliver all completed work upon receipt of final payment.

11. Governing Law

These terms are governed by the laws applicable to international commercial agreements. For clients in the EU, applicable EU consumer protection laws apply where relevant.
